1. Agreement to Terms

By purchasing any service from Timothy Bedsole, operating as Webflare ("we," "us," "our"), you ("Client") agree to be bound by these Terms & Conditions in full. These terms constitute the entire agreement between Webflare and the Client regarding the services described herein.

2. Services

Webflare offers website design and related digital services on a subscription basis, including but not limited to the Starter Plan and Growth Plan. Additional service tiers may be introduced over time. Each plan includes a one-time setup fee and a recurring monthly subscription fee as outlined on our pricing page at the time of purchase.

2.1 Website Delivery The setup fee covers the time and labor required to design and build the Client's website. Webflare will deliver a completed website within 14 calendar days of receiving all required materials from the Client (see Section 6). Delivery timelines are contingent on the Client providing complete and timely materials.

2.2 Monthly Edits Each plan includes a set number of monthly edit requests as follows:

- Starter Plan: 1 edit per month

- Growth Plan: 3 edits per month

- Additional tiers will have edit allocations as specified at the time of purchase

One edit is defined as a single change request submitted at one time, covering modifications reasonably completable within one hour. This includes tasks such as updating text, swapping images, adjusting colors, or modifying an existing section. Edit requests that exceed this scope (including adding new pages, redesigning existing sections, or integrating new functionality) will be quoted separately and are not covered under the monthly edit allowance. Unused monthly edits do not roll over to the following month.

3. Payment

3.1 Setup Fee A one-time setup fee is charged at the time of purchase and is non-refundable except as described in Section 5.

3.2 Monthly Subscription The monthly subscription fee is charged on a recurring basis beginning 30 days after the date of initial signup. Payments are processed via PayPal.

Webflare reserves the right to introduce additional payment methods at its discretion.

3.3 Failed Payments If a scheduled payment fails, Webflare reserves the right to suspend services until payment is successfully collected.

4. Cancellation

Either party may cancel the service agreement by providing 30 days written notice via email to [email protected]. The Client will retain access to their website and services through the end of the final paid billing period. Monthly subscription fees are non-refundable once a billing cycle has begun.

Upon cancellation, the Client's website will be removed from Webflare's platform at the conclusion of the notice period. The Client does not retain ownership of or access to the website files unless they have purchased the Offboarding Package described in Section 8.

5. Refund Policy

Webflare offers a 14-day money-back guarantee on setup fees only, subject to the following conditions:

- The guarantee period begins on the date the completed website is delivered to the Client

- Refund requests must be submitted in writing to [email protected] within 14 days of delivery

- The money-back guarantee is available once per Client and may not be used on subsequent purchases

- Monthly subscription fees are not eligible for refunds under any circumstances

- If a refund is issued, Webflare reserves the right to unpublish and remove the website immediately upon processing the refund

6. Client Responsibilities

6.1 Domain Ownership The Client is required to purchase and maintain their own domain name independently. Webflare does not purchase, own, or hold domain names on behalf of clients under any circumstances. This policy exists to ensure the Client retains full ownership and control of their business identity at all times.

Webflare will provide DNS configuration settings and written guidance so the Client can connect their domain independently. If the Client prefers, they may grant Webflare access to their domain registrar account to configure DNS settings on their behalf, however this is entirely optional and at the Client's discretion. Webflare will not retain access to any domain registrar account beyond what is necessary to complete the requested configuration.

6.2 Material Delays Webflare's 14-day delivery window begins only after all required materials have been received in full. If the Client fails to provide necessary materials within 7 calendar days of purchase, Webflare will issue a reminder. If materials are not received within 14 calendar days of purchase, Webflare reserves the right to close the project and retain the setup fee as compensation for reserved time and resources. In this case, the Client may reopen the project at Webflare's discretion.

If materials are provided after the initial deadline but before the 14-day closure window, the delivery timeline will be reset from the date complete materials are received, and the 14-day money-back guarantee period will begin from the date of the revised delivery.

7. Intellectual Property & Asset Ownership

7.1 Website The website designed and built by Webflare remains hosted on Webflare's platform for the duration of the active subscription. The Client does not own the website code, design files, or underlying assets unless they have purchased the Offboarding Package described in Section 8.

7.2 Client-Provided Assets Any assets provided by the Client (text, images, logos, etc.) remain the property of the Client at all times.

7.3 Stock & AI-Generated Images Stock photos and AI-generated images used by Webflare in the Client's website may be transferred to the Client as part of the Offboarding Package. Webflare makes no guarantees regarding the licensing terms of third-party stock images beyond their permitted use on the Client's website.

8. Offboarding Package

Upon cancellation, Clients may optionally purchase the Webflare Offboarding Package. This package must be requested at the time of cancellation and includes:

- A static HTML/CSS/JS version of the Client's website as it exists at the time of cancellation, approximating the original design as closely as technically possible

- Basic instructions for uploading the files to a third-party hosting provider

- Guidance on transferring DNS settings to point their domain to a new host

- One round of reasonable corrections if rendering issues are identified upon delivery

The Offboarding Package is priced at the equivalent of the Client's original setup fee (e.g. $450 for Starter Plan clients, $975 for Growth Plan clients). Webflare will deliver the offboarding files within 14 calendar days of the offboarding request and payment being received.

Webflare does not guarantee that the static export will be a pixel-perfect reproduction of the hosted website, as certain dynamic or platform-specific features may not transfer to a static format.

9. Service Availability & Modifications

Webflare will make reasonable efforts to maintain website uptime and service availability. Webflare reserves the right to modify, update, or discontinue any service offering at any time, with reasonable notice provided to active Clients where possible. Webflare also reserves the right to update these Terms & Conditions at any time. Continued use of services following any update constitutes acceptance of the revised terms.

10. Limitation of Liability

Webflare's total liability to the Client for any claim arising from these terms or the services provided shall not exceed the total amount paid by the Client in the three months preceding the claim. Webflare is not liable for any indirect, incidental, or consequential damages including loss of business, revenue, or data.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of Florida. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the courts of Brevard County, Florida.
